Terms of Service

1. Who We Are and These Terms
The Heading platform ("Service") is provided by Heading AI Limited ("Heading", "we", "us", "our"), a company registered in England and Wales under company number 17241813, with its registered office at 124-128 City Road, London, England, EC1V 2NX.
These Terms of Service ("Terms") are a binding agreement between Heading and the business you represent ("you"). By creating an account or using the Service, you accept these Terms on behalf of that business and confirm you have authority to do so. If you do not agree to these Terms, do not use the Service.
The Service is a business tool. You may use it only in the course of a business, not as a consumer.
2. The Service
Heading is an AI search visibility platform. It monitors how brands appear in answers generated by third-party AI platforms — including ChatGPT, Perplexity, Gemini, and Google AI Overview — and provides visibility scores, analysis, recommendations, reports, alerts, an API, and related tools.
We are an early-stage product and ship quickly. We may add, change, or remove features of the Service at any time. Where a change materially reduces the core functionality of a paid plan, we will give you reasonable advance notice where practicable.
Features labelled beta, preview, or experimental are provided for evaluation, may change or be withdrawn without notice, and are excluded from any commitments in these Terms.
3. Accounts
You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for keeping your credentials secure and for all activity under your account.
Notify us immediately at support@useheading.com if you become aware of unauthorised use of your account. We are not liable for loss arising from unauthorised access caused by your failure to keep credentials secure.
You must be at least 16 years old to use the Service.
4. Teams and Members
The Service is organised around teams. The team owner and admins control membership, roles, billing, and data for the team, and are responsible for the actions of members they invite.
A person or business may maintain multiple teams, but each team must represent a genuine business or client engagement — not a means of circumventing plan limits.
5. Free Properties
Each team may track a limited number of properties free of charge (currently 2). Free properties may have reduced features, tracking frequency, or data retention compared to paid plans, and are subject to fair-use limits.
We may change the free allowance and its limits at any time. Free access is provided as is, and we may suspend or withdraw it for abuse.
6. Subscriptions, Fees, and Payment
Paid plans are per property: each property you upgrade carries its own subscription (Starter, Growth, or Scale — plans differ by the number of prompts tracked). Agencies may also purchase a fixed-price monthly add-on that unlocks white-label features for the team.
Fees are billed monthly in advance through Stripe, our payment provider. Prices are available in GBP and USD; your team's billing currency is set at first purchase and applies to everything the team buys after that. All fees are exclusive of VAT and other applicable taxes, which are added where required. Properties added mid-cycle are prorated.
We may change our prices with at least 30 days' notice by email or through the Service. Changes apply from your next billing cycle. If you do not accept a price change, cancel the affected subscription before it takes effect.
If a payment fails, we will retry it. If it continues to fail, we may suspend paid features or downgrade the affected properties to free until payment is made.
7. Cancellation and Refunds
You can cancel any property subscription or the agency add-on at any time through billing settings. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
Fees already paid are non-refundable except where required by law or where we decide otherwise at our discretion.
8. Your Data
You retain all rights to the data you or your team submit to the Service — brand configurations, prompts, documents, prospect and lead data, and connected analytics data ("Customer Data"). You grant us a licence to host, process, and display Customer Data solely to provide, secure, and improve the Service.
You are responsible for Customer Data: you confirm you have the rights and, where it includes personal data of your own contacts, prospects, or clients, a lawful basis to submit it, and that doing so does not break any law or third-party right. Where we process such personal data on your behalf, we do so as your processor, on your instructions, as described in our Privacy Policy.
We may generate and use data about how the Service is used, and aggregated or anonymised data derived from the Service (such as cross-industry visibility benchmarks), provided it does not identify you, your clients, or any individual.
9. AI Answers and Third-Party Platforms
The Service collects, stores, and analyses answers generated by third-party AI platforms. We do not control those platforms and are not responsible for what they generate. AI answers may be inaccurate, incomplete, offensive, or change without notice — a visibility score reflects what the platforms said, not what is true.
Analysis, scores, and recommendations produced by the Service are provided for information only. They are not legal, financial, or professional advice, and you are responsible for decisions you make based on them.
Our access to AI platform answers depends on third-party providers. If a platform or provider changes, restricts, or withdraws access, we may adjust or discontinue coverage of that platform without liability, and will tell you when that happens.
10. Agencies and White-Label
Teams with the agency add-on may present the Service to their clients under their own branding, including on their own domain.
If you do this, you are responsible to your clients: for the terms you offer them, for their support, for having the rights to any branding you upload, and for how you present data from the Service. You must not misrepresent the source or accuracy of the data. Heading is not a party to your client relationships.
11. API Access
The Service includes an API, authenticated with API keys you create and manage. API keys are credentials: keep them secret, and revoke any key you believe is compromised. Activity under your keys is your responsibility.
Use the API reasonably. We may impose or change rate limits, and may throttle or suspend API access that degrades the Service for others. We may change the API with reasonable notice of breaking changes where practicable.
12. Acceptable Use
You agree not to:
- Use the Service to break any law or infringe anyone's rights
- Probe, breach, or test the security of the Service, or access it by any means other than the interfaces we provide
- Scrape, crawl, or bulk-extract data from the Service other than through the API
- Resell, sublicense, or make the Service available to third parties except as expressly allowed by the agency and white-label features
- Use the Service, or data obtained from it, to build a competing product
- Transmit malware or interfere with the operation of the Service
- Circumvent plan limits, free-tier caps, or usage restrictions
13. Intellectual Property and Feedback
The Service — including its software, design, scoring methodology, and content other than Customer Data — is owned by Heading and its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use it during your subscription. You may not copy, modify, reverse engineer, or create derivative works from it, except as permitted by law.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
We may identify you as a customer and use your name and logo in our marketing unless you ask us not to. We will never disclose an agency's client relationships or white-label arrangements without permission.
14. Confidentiality
Each of us may receive confidential information from the other. Each of us agrees to protect the other's confidential information with reasonable care, use it only in connection with the Service, and not disclose it except to people who need it and are bound by confidentiality, or where disclosure is required by law.
15. Privacy
How we collect and use personal data is described in our Privacy Policy, which forms part of these Terms. Where you submit personal data belonging to your contacts, prospects, or clients, section 8 applies.
16. Warranties and Disclaimers
The Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free, or that the data it collects is accurate or complete — see section 9. We aim for high availability but do not offer a service-level agreement.
To the maximum extent permitted by law, we exclude all implied warranties, conditions, and terms, including satisfactory quality, fitness for a particular purpose, and non-infringement.
17. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.
Subject to that, neither of us is liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill, or data, arising out of or in connection with these Terms.
Subject to the two paragraphs above, our total liability arising out of or in connection with these Terms is capped at the greater of £100 and the fees you paid us in the 12 months before the event giving rise to the claim.
18. Indemnity
You will indemnify us against costs, damages, and reasonable legal fees arising from third-party claims caused by Customer Data you submit, your breach of section 8 or 12, or the terms you offer your own clients under section 10.
19. Suspension and Termination
You may stop using the Service and delete your account at any time through account settings. Deleting your account deactivates it immediately; after a 14-day grace period, during which you can restore it, your data is permanently deleted. Deleting an account does not refund fees already paid.
We may suspend or terminate your access if you materially breach these Terms, if your use creates security, legal, or abuse risk, or if fees remain unpaid after reasonable attempts to collect. Where reasonable, we will notify you and give you a chance to fix the problem first.
Sections that by their nature should survive termination — including sections 8, 13, 14, 17, 18, and 21 — survive it.
20. Changes to These Terms
We may update these Terms from time to time. For material changes we will give you at least 30 days' notice by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to updated Terms, stop using the Service and cancel your subscriptions before they take effect.
21. General
These Terms, together with the Privacy Policy and any order or billing pages you accept, are the entire agreement between us about the Service and supersede any earlier discussions.
You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver. Nobody other than you and Heading has rights under these Terms (the Contracts (Rights of Third Parties) Act 1999 does not apply). Neither of us is liable for delay or failure caused by events outside our reasonable control.

22. Governing Law
These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
