1. Acceptance of Terms
By accessing or using the Heading platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including individual users, team members, and organisations.
2. Description of Service
Heading is an AI search visibility platform that monitors how brands appear across AI platforms including ChatGPT, Perplexity, Google AI Overview, and others. The Service includes dashboards, reports, alerts, and related tools.
We may update, modify, or discontinue features of the Service at any time. We will provide reasonable notice of material changes where practicable.
3. Accounts and Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
You must notify us immediately if you become aware of any unauthorised use of your account. We are not liable for any loss arising from unauthorised access to your account.
One person or organisation may maintain multiple team accounts, but each account must represent a genuine business entity or use case.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit malicious code or interfere with the Service's operation
- Attempt to gain unauthorised access to any part of the Service
- Scrape, crawl, or otherwise extract data from the Service by automated means beyond the provided API
- Resell or redistribute the Service without written permission
- Use the Service to harass, abuse, or harm others
5. Billing and Payments
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
We may change our pricing with 30 days' notice. Price changes apply at the start of your next billing cycle. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.
If payment fails, we will attempt to collect the outstanding amount. After reasonable attempts, we may suspend or downgrade your account.
6. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.
You retain ownership of all data you provide to the Service. We do not sell your data to third parties. We use your data solely to provide and improve the Service.
We may aggregate and anonymise usage data for analytical purposes. Aggregated data cannot be used to identify you or your organisation.
7. Intellectual Property
The Service, including its design, features, and content (excluding your data), is owned by Heading and protected by intellectual property laws. You may not copy, modify, or create derivative works from any part of the Service.
You grant us a limited licence to use, store, and process the data you provide solely for the purpose of delivering the Service.
8. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available". We may perform scheduled maintenance with reasonable advance notice.
We are not liable for any downtime, data loss, or service interruptions caused by factors outside our reasonable control, including third-party API changes, network failures, or force majeure events.
9. Termination
You may cancel your account at any time through the Service settings. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach. We will make reasonable efforts to notify you before termination except in cases of serious misconduct.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted.
10. Limitation of Liability
To the maximum extent permitted by law, Heading shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities.
Our total liability for any claim arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
